1 Acceptance
These Terms of Service (“Terms”) form a binding agreement between you (or the organisation you represent) and BuySoft (“we”, “us”) governing access to BuySoft CRM (the “Service”). By creating an account, signing in, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you accept these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.
2 The Service
BuySoft CRM is an AI‑native customer relationship management product for sales teams. It includes workspace‑scoped pipelines, deal scoring, renewal and at‑risk workflows, AI extraction from activity inputs, and review‑gated draft generation. Features may change as the Service evolves; we will not materially reduce functionality of a paid plan without notice.
3 Accounts & Workspaces
- You must provide accurate, current information when creating an account and keep it up to date.
- You are responsible for safeguarding credentials and for all activity that occurs under your account or workspace.
- Workspace administrators can invite, remove, and manage members, and can access workspace content, drafts, and activity history.
- Notify us promptly at [email protected] if you suspect unauthorised access.
4 Subscriptions & Billing
4.1 Plans and fees
Paid plans are billed in advance on a monthly or annual cycle in the currency shown at checkout. Fees, seat counts, and the billing cycle for your workspace are set out on the pricing page and in your subscription record.
4.2 Free trial
Where offered, free trials end automatically on the date displayed in‑app. If you have not added a payment method, your workspace will move to a free tier or be paused; existing data is retained per our retention policy.
4.3 Renewals and cancellation
- Subscriptions renew automatically for the same term until cancelled.
- You may cancel at any time from your billing settings; cancellation takes effect at the end of the current paid period and the Service remains available until then.
- Except where required by law, fees already paid are non‑refundable.
4.4 Taxes
Fees are exclusive of taxes unless stated otherwise. You are responsible for VAT, GST, sales tax, and similar levies that apply to your purchase.
4.5 Payment processor
Payments are processed by Stripe. By providing payment details you authorise us, through Stripe, to charge the applicable fees. Failed payments may result in suspension after a grace period and notice.
4.6 Price changes
We will give at least 30 days’ notice before applying a price change at your next renewal.
5 Your Data
- You own your workspace content. You grant BuySoft a worldwide, non‑exclusive licence to host, copy, process, and display that content solely to provide and improve the Service for your workspace.
- By submitting activity text for AI processing, you authorise us to transmit that text to the AI sub‑processors listed in our Privacy Policy.
- You represent that you have the right to upload the content you put into your workspace and that doing so does not violate any contract, law, or third‑party right.
- You can export your workspace data at any time. Deletion and retention are described in our Privacy Policy.
6 AI‑Generated Content
- The Service uses AI models to extract structured CRM updates and to generate drafts, summaries, and scores.
- AI output is probabilistic and may contain errors, omissions, or fabrications. You must review AI‑generated content before sending it externally or relying on it for a decision.
- The Service includes review gates for outbound drafts; you agree not to disable those gates in a way that bypasses human review for customer‑facing communications.
- Subject to the licence in Section 5, you own AI output generated for your workspace, but you acknowledge that similar output may be generated for other customers from independent inputs.
7 Acceptable Use
You agree not to, and not to allow anyone else to:
- Use the Service to store or process data you do not have the right to use, or that violates applicable law.
- Attempt to circumvent security controls, access another workspace’s data, or probe the Service for vulnerabilities outside a coordinated disclosure programme.
- Submit malicious code, conduct denial‑of‑service attacks, or attempt to overload the Service.
- Send spam, unsolicited messaging, or any content that is unlawful, defamatory, infringing, or harmful.
- Reverse engineer the Service, attempt to extract source code, or use the Service to build a competing product.
- Use the Service to make automated decisions about individuals that produce legal or similarly significant effects without your own human review process.
8 Service Availability
We work hard to keep the Service available and operate it with monitoring, alerting, and on‑call coverage. We may schedule maintenance and will give reasonable notice for planned downtime where practicable.
The Service is provided on a commercially reasonable basis. Unless a separate signed agreement says otherwise, no specific uptime is guaranteed.
9 Suspension & Termination
- You may stop using the Service at any time and cancel your subscription as described in Section 4.
- We may suspend or terminate access if you materially breach these Terms, if your payment is overdue, or if continued use poses a security, legal, or safety risk. Where reasonable, we will give notice and an opportunity to cure.
- On termination, your right to use the Service ends. Provisions intended to survive (including Sections 5, 10, 11, 12, and 13) survive termination.
10 Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind — express, implied, or statutory — including merchantability, fitness for a particular purpose, non‑infringement, and any warranties arising from course of dealing or trade usage. We do not warrant that AI output will be accurate, complete, or fit for your purpose.
11 Limitation of Liability
To the maximum extent permitted by law:
- Neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data.
- Each party’s total aggregate liability arising out of or related to these Terms is capped at the fees you paid BuySoft for the Service in the 12 months preceding the event giving rise to the claim.
These limits do not apply to your obligation to pay fees, to either party’s indemnification obligations, or to liabilities that cannot be limited under applicable law.
12 Indemnification
You will defend, indemnify, and hold harmless BuySoft from third‑party claims arising from (a) your workspace content, (b) your breach of these Terms, or (c) your violation of applicable law. We will give you prompt notice of any claim and reasonable cooperation in your defence.
13 Governing Law
These Terms are governed by the laws of the jurisdiction in which BuySoft is established, without regard to its conflict of law principles. Disputes will be brought in the courts of that jurisdiction, except where mandatory consumer protection laws of your residence apply.
14 Changes to these Terms
We may update these Terms from time to time. Material changes will be announced in‑product and, for paying workspaces, by email at least 30 days before they take effect. Continued use of the Service after a change takes effect means you accept the updated Terms; if you do not agree, you may cancel before the change date.
